These Terms of Use (“Terms”) govern your access to and use of the OneTake mobile application and related services (the “App”), operated by MF Technologies Pty Lt (“we”, “us”, or “our”). By accessing or using the App, you agree to be bound by these Terms.
If you do not agree to these Terms, do not use the App.
1. Acceptance of Terms
By creating an account, accessing, or using the App, you confirm that you have read, understood, and agreed to these Terms, including any future updates.
2. Eligibility and User Accounts
You must be at least 18 years old to use the App.
You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
You agree to provide accurate and complete information and to keep your account information up to date.
3. License to Use the App
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the App for personal, non-commercial educational purposes only, subject to these Terms.
4. Practice Test Purposes Only (No Guarantee of Results)
The App is intended solely as a practice test and study aid for CPA Licensure Examination review.
We do not guarantee that you will pass the CPALE or achieve any specific score.
Exam performance depends on many factors beyond our control.
The App is not affiliated with or endorsed by the Professional Regulation Commission (PRC) or any reviewing body.
5. Subscriptions, Payments, and Refunds
Some features require payment (e.g. Premium access). Prices, billing periods, and features are displayed in the App. We may modify pricing or plans at any time, with notice where required.
Payments are processed via third-party payment providers.
Payments are non-refundable.
6. Free vs Premium Access
Free users may have limited access to questions, exams, reviews, or features.
Premium access unlocks additional features as described at the time of purchase. We reserve the right to change what is included in Free or Premium plans.
7. User Conduct and Prohibited Activities
You agree not to:
- Copy, distribute, sell, share, or resell any App content
- Record, scrape, or extract questions or explanations
- Share accounts or login credentials
- Attempt to reverse engineer or bypass app security
- Use the App for commercial or competitive purposes
Violation may result in account suspension, termination, or permanent blacklisting.
8. Intellectual Property Rights
All content in the App—including questions, explanations, rankings, designs, and trademarks—is owned by or licensed to OneTake and protected by intellectual property laws.
No rights are granted except as expressly stated in these Terms.
9. User Content and Submissions
If you submit feedback, suggestions, or other content such us tests, quizzes and pre-board results, you grant us a non-exclusive, royalty-free right to use it to improve the App.
You confirm that your submissions do not infringe third-party rights.
When you create or join groups within the App, you understand that:
- Your results, rankings, or activity may be visible to other members of the group
- Shared data is limited to what the App is designed to display at the time
- Group visibility depends on app features and settings, which may change over time
10. Exam Questions, Answers, and Explanations
Content in the App (including questions, answers, and explanations) may be created, adapted, curated, or derived from educational sources, and is provided for practice purposes only. It does not reflect actual CPALE exam questions.
We may use AI-assisted tools to help:
- Draft, refine, or generate practice contents
- Check for consistency, clarity, and potential errors
- Analyze performance patterns to improve question quality and learning outcomes
- Support features such as explanations, recommendations, or study feedback
- AI outputs may contain errors.
You are responsible for verifying information using your own judgement and, where appropriate, official references. Where you identify errors, your are responsible for reporting errors through the app,
Explanations reflect subjective academic interpretations and may vary from official answers or examiner reasoning. Errors may occur, and we do not warrant absolute accuracy.
11. Rankings, Scores, and Performance Data
Rankings and performance indicators are informational only and based on user activity within the App.
They:
- Do not represent national CPALE rankings
- May change due to data updates or algorithm adjustments
- Should not be relied upon as predictors of actual exam results
We may:
- Display aggregated or individual results, such as leaderboards or “Top 10” rankings
- Use performance data to improve question quality, detect errors, and enhance learning outcomes
- Analyze usage patterns to improve features and user experience
12. Accuracy of Content and Updates
We strive to keep content accurate and up to date, but we do not guarantee that all practice questions and or materials provided in the app are current, complete, or error-free.
You are responsible for verifying information using your own judgement and, where appropriate, official references. Where you identify errors, your are responsible for reporting errors through the app.
Content may be modified, removed, or updated at any time without notice.
13. Third-Party Services and Links
The App may integrate third-party services (e.g. payments, analytics).
We are not responsible for third-party content, policies, or services. Your use of them is governed by their own terms.
14. App Availability and Modifications
We do not guarantee uninterrupted access to the App.
We may:
- Modify or discontinue features
- Temporarily suspend access for maintenance
- Update the App to improve performance or compliance
15. Termination and Account Suspension
You may stop using the App at any time.
We may suspend or terminate your account, with or without notice, if you violate these Terms or misuse the App, including but not limited to:
- Abusive, harassing, threatening, or inappropriate behavior toward other users or our team
- Attempting to disrupt, overload, or interfere with the App or its services
- Circumventing usage limits, security measures, or access controls (e.g. creating multiple accounts for the same user/person).
- Using the App in a way that is unlawful, harmful, or inconsistent with its intended purpose
Account suspension or termination is solely at the discretion of OneTake team and does not entitle you to any refund.
16. Disclaimers and Limitation of Liability
The App is provided “as is” and “as available.”
We:
- disclaim all warranties
- are not liable for indirect, incidental, or consequential damages from the use of the app, and
- Our total liability shall not exceed the amount you paid to use the App.
17. Indemnification
You use the App at your own discretion and risk. The content, features, and functionality of the App are provided for practice purposes only and may contain errors or inaccuracies.
OneTake shall not be liable for any loss, damage, harm, or liability arising from:
- Your use or misuse of the App
- Your reliance on the App’s content, results, or recommendations
- Errors, omissions, or inaccuracies in questions, explanations, rankings, or AI-generated content
You agree to indemnify and hold OneTake harmless from any claims, damages, losses, or expenses arising out of or in connection with your use of the App, whether or not such use constitutes a violation of these Terms.
18. Privacy and Data Protection
Your use of the App is also governed by our Privacy Policy.
We collect and process data to provide and improve the App in accordance with applicable data protection laws.
19. Governing Law and Jurisdiction
These Terms are governed by the laws of the Commonwealth of Australia and the State of New South Wales, without regard to conflict-of-law principles.
OneTake is an Australian company that provides its services to users in multiple countries.
You agree that any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of New South Wales, Australia, except where prohibited by applicable local consumer protection laws.
20. Changes to These Terms
We may update these Terms from time to time. Continued use of the App after changes means you accept the updated Terms.
